Digital Poster License Agreement
This Digital Poster License Agreement ("Agreement") is made effective as of the date of purchase by and between Soulful ArtiZen, P.O. Box 173, Pomfret, Maryland 20675 (“Licensor") and Customer (Purchaser of the Art).
WHEREAS, Licensor is the creator and owner of certain digital posters that are protected under copyright and other intellectual property laws;
WHEREAS, Licensee desires to obtain, and Licensor has agreed to grant, a license under such intellectual property rights for the use of the digital posters, subject to the terms and conditions of this Agreement.
NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:
1. Grant of License
Licensor hereby grants to Licensee a non-exclusive, non-transferable, non-sublicensable license to use the digital posters ("Licensed Material") solely for Licensee's personal, non-commercial use. This license does not allow the Licensee to resell or redistribute for monetary gain or otherwise make available the Licensed Material to any third parties.
2. Restrictions
a. The Licensee shall not use the Licensed Material for any purposes beyond the scope of the license granted herein.
b. The Licensee shall not modify, adapt, alter, or create derivative works from the Licensed Material.
c. The Licensee agrees not to distribute, sublicense, transfer, or sell the Licensed Material or any derivative works based on the Licensed Material.
3. Intellectual Property Rights
All rights, title, and interest in the Licensed Material and any copies thereof remain with the Licensor, and this Agreement does not transfer any ownership rights in the Licensed Material to the Licensee. The Licensed Material is protected by copyright and other intellectual property laws and treaties.
4. Warranty and Disclaimer
The licensor warrants that it has the right to grant this license. EXCEPT FOR THIS WARRANTY, THE LICENSED MATERIAL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
5. Limitation of Liability
In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to this Agreement.
6. Miscellaneous
This Agreement constitutes the entire agreement between the parties concerning its subject matter. It may only be modified by a written amendment signed by the licensor.
IN WITNESS WHEREOF, Soulful ArtiZen executed this Agreement as of the Effective Date of Purchase.
